Terms of Service

1. Eligibility

You must be at least 18 years of age to use Grooviq. By using the App, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. We reserve the right to request proof of age and to terminate accounts if we have reason to believe a user does not meet this requirement.

2. Account Registration

To use the App, you must create an account and provide accurate, complete, and current information, including your name, email address, and responses to our personality assessment. You agree to:

• Provide truthful and accurate information during registration and while using the App.
• Maintain the security of your account credentials and not share your login information with others.
• Notify us immediately of any unauthorized access to or use of your account.

You are responsible for all activity that occurs under your account.

3. Description of Services

Grooviq is a community platform that connects board game enthusiasts for in-person meetups. Our services include:

• A personality-based matching system that uses the Big Five personality model, combined with your game preferences and location, to suggest compatible groups of players.
• Organization of in-person board game events at vetted partner venues in supported areas (currently the San Francisco Bay Area, with expansion to additional cities over time).
• Features that allow users to rate events and other users, share contact information with mutual consent, and connect with compatible players.

Grooviq organizes events and coordinates meetups at vetted partner venues, but we do not host or supervise the events themselves. All in-person interactions occur at the discretion and responsibility of the participating users.

4. User Conduct and Community Guidelines

Grooviq is built on trust and respect. By using the App, you agree to:

• Treat other users with respect and courtesy, both within the App and at in-person events.
• Use the App only for its intended purpose of connecting with others for board game meetups.
• Provide honest and fair ratings of events and other users.
• Respect the privacy of other users and not share their personal information without consent.

You agree not to:

• Harass, threaten, stalk, or intimidate any other user.
• Use the App for any commercial purpose, including solicitation, advertising, or promotion of goods or services.
• Create fake accounts, impersonate others, or misrepresent your identity or affiliation.
• Post or transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to other users' accounts or any part of the App's systems.
• Use the App to facilitate any illegal activity.

We reserve the right to investigate violations and take appropriate action, including warning, suspending, or terminating accounts.

5. Safety and In-Person Meetups

Your safety is important. While Grooviq organizes events at vetted partner venues, we do not conduct background checks on users or verify user-provided information, and we do not supervise events. When attending meetups, we recommend that you:

• Meet in public places, especially for initial meetups with new groups.
• Inform a friend or family member of your plans, including where you will be and who you will be meeting.
• Trust your instincts—if something feels uncomfortable, leave the situation.
• Report any concerning behavior to us immediately through the App or at <a href="mailto:hello@grooviq.com" class="text-[#1B7AF8] hover:underline">hello@grooviq.com</a>.

Grooviq is not responsible for the conduct of any user, whether online or offline. You interact with other users at your own risk.

6. User Content

You may submit content to the App, including profile information, ratings, and other materials ("User Content"). You retain ownership of your User Content, but by submitting it, you grant Grooviq a non-exclusive, worldwide, royalty-free license to use, display, and distribute your User Content solely for the purpose of operating and improving the App.

You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not violate these Terms or any applicable law.

7. Intellectual Property

The App, including its design, features, content, and underlying technology, is owned by Grooviq and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the App without our prior written consent.

8. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the App, you consent to the practices described in the Privacy Policy.

9. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy or completeness of any information provided through the App, including user profiles and personality assessments.

We make no representations or warranties regarding the compatibility of users matched through our system, the quality of any in-person interactions, or the suitability of partner venues for any particular purpose. While we vet partner venues, we do not guarantee venue conditions, safety, or the conduct of venue staff or other patrons.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROOVIQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, ANY INTERACTIONS WITH OTHER USERS, OR ANY INCIDENTS OCCURRING AT PARTNER VENUES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO GROOVIQ, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Grooviq and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the App, your conduct at Grooviq-organized events, your violation of these Terms, or your violation of any rights of another person or entity.

12. Termination

You may terminate your account at any time by deleting it through the App settings or by contacting us at hello@grooviq.com.

We may suspend or terminate your account at any time, with or without cause or notice, if we believe you have violated these Terms or engaged in conduct that is harmful to other users or the Grooviq community. Upon termination, your right to use the App will immediately cease.

13. Dispute Resolution

Informal Resolution: Before initiating any formal dispute resolution, you agree to contact us at hello@grooviq.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the App shall be resolved by binding arbitration administered by JAMS in San Francisco, California, in accordance with its Streamlined Arbitration Rules and Procedures. The arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that any dispute resolution will be conducted only on an individual basis and not as a class, consolidated, or representative action.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the App or via email. Your continued use of the App after such changes constitutes your acceptance of the revised Terms.

16. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Grooviq regarding the App.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
